Shareholder and Partner Disputes

Disputes between partners or shareholders of businesses are more common than you think.  Those disputes are sometimes as difficult to resolve as marital separations.  Children are not be involved but intellectual property, goodwill, client lists, trade secrets and value of the departing partner's ownership cause disputes between business partners to become protracted.

We advise all our business clients to have written Buy-Sell Agreements and to have an exit strategy.  It is important to get such a document in place when the relationship between the business partners is good.  Having a Buy-Sell Agreement will pre-determine value of shares or ownership interests upon a partner or shareholder's exit and reduce serious clashes when relationships break down.

Absent a Buy-Sell Agreement, matters are more complicated but not irretrievable.   Attorneys at Guichard, Teng & Portelllo have successfully negotiated and resolved many such business disputes, sometimes without the need for litigation in a court of law.

If you have business partners, please call us for the preparation of a Buy-Sell Agreement.
